TERMS OF SERVICE

1. ACCEPTANCE OF THESE TERMS

These Terms of Service (“Terms”) are an agreement between you and BRNR (“BRNR,” “we,” “us,” or “our”). They apply to your access to and use of getbrnr.com, BRNR CREATOR, customer and dealer accounts, and products or services purchased from BRNR.

You must be at least the age of majority where you live, or use the site with the involvement of a parent or legal guardian. If you use the site for a business or organization, you represent that you are authorized to bind that entity.

2. ONLINE STORE AND PRODUCT INFORMATION

We work to describe and display products accurately. Screen settings, photography, yarn, materials, manufacturing methods and normal production variation can affect how colors, scale, texture and finished products appear. Images and digital mockups are illustrative unless expressly identified as a physical sample or final production proof.

We may correct errors, update information, limit quantities, discontinue products, or refuse service where permitted by law. Product availability, pricing and promotions may change without notice before an order is accepted.

3. ORDERS, PRICING, PAYMENT AND TAXES

Your order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily mean that we have accepted the order. We may verify information, request additional approval, cancel or limit an order, or refund payment if an order cannot be fulfilled.

Prices are shown in U.S. dollars unless stated otherwise. You are responsible for applicable taxes, shipping charges, duties and other amounts shown at checkout or otherwise agreed in writing. Payment must be made using an accepted payment method. Dealer pricing is available only to approved accounts and may be subject to separate catalog, quantity and account terms.

4. CUSTOM PRODUCTS

Custom products are made or prepared for a particular customer and may include custom colors, logos, names, patterns, packaging, sizing or construction. Minimum quantities, pricing, setup requirements and lead times may vary by product and project.

Quotes and estimates are based on the information available when issued. Changes to artwork, specifications, quantities, packaging, delivery requirements or other project details may affect price and schedule. A project does not enter production until BRNR receives the required payment, information and approvals.

5. CUSTOMER ARTWORK, DESIGN RIGHTS AND APPROVALS

You retain ownership of materials you submit to BRNR. You grant BRNR a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt and display those materials as reasonably necessary to provide design, manufacturing, fulfillment and support services for your project.

You represent that you own or have permission to use every logo, name, image, trademark, design and other material you submit, and that our authorized use will not violate another person’s rights or applicable law. We may decline or stop work involving material we reasonably believe is unauthorized, unlawful, misleading, harmful or inappropriate.

You are responsible for reviewing all names, spelling, numbers, colors, placement, quantities, sizes, packaging and other details before approval. Your approval authorizes BRNR to proceed. Changes requested after approval may require additional charges, a revised schedule or a new order.

BRNR retains ownership of its pre-existing materials, manufacturing methods, software, templates, product construction, know-how and other intellectual property. Unless otherwise agreed in writing, concepts, mockups and production files created by BRNR may not be used to manufacture products through another supplier.

6. PRODUCTION, TOLERANCES AND DELIVERY

Production and shipping dates are estimates, not guarantees, unless BRNR expressly agrees otherwise in writing. Timing may be affected by approval delays, material availability, carrier performance, weather, service interruptions and other circumstances outside our reasonable control.

Custom manufacturing is subject to reasonable commercial tolerances. Minor variations may occur in color, yarn, dimensions, placement, registration, packaging and finished quantity. Digital colors and mockups may not precisely match physical materials. These normal variations are not defects.

Risk of loss and title pass as provided by applicable law and the selected shipping terms. You are responsible for providing a complete and accurate delivery address and promptly reporting visible shipping damage or missing packages to both BRNR and the carrier.

7. RETURNS, CANCELLATIONS AND PRODUCT CLAIMS

Returns, exchanges, refunds and cancellations are governed by the policy presented with your purchase and any written project terms. Custom, personalized, approved or made-to-order products generally cannot be returned or cancelled because of preference, sizing choices, approved artwork or normal manufacturing variation.

If you believe an item is defective, damaged, incorrect or missing, contact customerservice@getbrnr.com promptly with the order number, description and clear photographs. Do not discard products or packaging before we complete our review. Any remedy will be determined under the applicable policy and law.

8. DEALER AND WHOLESALE ACCOUNTS

Dealer access is limited to businesses approved by BRNR. Applications may be accepted, declined, suspended or revoked at our discretion where permitted by law. You must keep account information accurate, protect login credentials and notify us promptly of unauthorized use.

Dealer pricing, catalogs, quotes, credit terms, territories, sales-representative arrangements and portal features may be changed or withdrawn. Unless BRNR approves credit terms in writing, payment is due by credit card or another method offered at checkout. Dealer accounts may not share confidential pricing or provide portal access to unauthorized parties.

9. WEBSITE AND BRNR INTELLECTUAL PROPERTY

The site and its content—including BRNR names, logos, product designs, text, photography, graphics, software and arrangement—are owned by or licensed to BRNR and protected by intellectual-property laws. You may use the site only for lawful personal or internal business purposes connected with evaluating or purchasing BRNR products.

You may not copy, scrape, reverse engineer, interfere with, resell or exploit the site or its content without written permission, except where applicable law does not allow that restriction.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

To the fullest extent permitted by law, the site and its content are provided “as is” and “as available.” We do not warrant uninterrupted or error-free access, or that every description, estimate or digital representation will be complete or exact.

To the fullest extent permitted by law, BRNR will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity arising from the site, products or services. BRNR’s aggregate liability relating to a product or order will not exceed the amount paid to BRNR for the product or order giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent allowed by law. Nothing in these Terms limits rights that cannot legally be waived.

11. GENERAL TERMS

You may not use the site or BRNR services for unlawful, fraudulent, abusive or infringing activity, introduce malicious code, attempt unauthorized access, or interfere with other users or systems.

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively unless law requires otherwise. If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver.

These Terms, together with applicable policies, order details, quotes and written project terms, form the agreement concerning the relevant use or purchase. If project-specific written terms conflict with these general Terms, the project-specific terms control for that project.
